Terms of Service

Acceptance of Terms​

By downloading, installing, or using the Hylist application (“Hylist”), you agree to be bound by these Terms of Service (“Terms”). Hylist is provided by Knoban LLC (“Company,” “we,” or “us”). If you do not agree with these Terms, you must not use Hylist. These Terms apply to all users of Hylist on iOS, Android, and Web platforms.

Description of Service​

Hylist is a video conferencing application offered as a demonstration of our technology. It provides features including audio/video communication, live transcription of speech to text, recording of sessions, and integrations with third-party services. Hylist is provided for demo purposes only and is not intended to serve as a full-scale social media or everyday communication tool. The Service is offered free of charge with no billing or fees. We may update or modify the features of Hylist at any time without prior notice.

Eligibility and User Accounts​

Hylist is not directed to children under 13. By using Hylist, you affirm that you are at least 13 years old. If you are under the age of majority in your jurisdiction (typically 18), you must use Hylist under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

To access Hylist's features, you must create a user account. Registration requires providing a valid email address (which will serve as your login) and a display name. Do not use your real name if you do not wish to; the display name is for in-app identification only. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information and to keep it updated. We reserve the right to suspend or terminate any account that uses false information or that violates these Terms.

Free Tier Usage and Account Limitations​

Hylist is currently provided free of charge as a demo service. There is no paid tier and no billing information is collected. Because this is a free service, we reserve the right to impose reasonable limits on usage to ensure fair access for all users. You agree not to abuse the free nature of the Service. Account Abuse includes, but is not limited to:

  • Excessive or automated use of Hylist that interferes with the stability or integrity of our Service.
  • Attempting to use Hylist for large-scale commercial or production purposes beyond personal or evaluation use.
  • Engaging in any activity that strains the Service (e.g., running unattended conferences 24/7) or otherwise using the Service in a way it was not intended for a demo application.

We may warn, suspend, or delete accounts that abuse the free tier or violate any usage limitations we set. We may also discontinue the free Service or shut down the platform at our discretion, since Hylist is not a production service. You understand that your access to Hylist may be terminated if we determine your usage is abusive or detrimental to our Service or to other users.

Acceptable Use and Prohibited Conduct​

When using Hylist, you agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Violate any applicable laws or regulations while using Hylist.
  • Transmit any content that is illegal, harmful, harassing, defamatory, obscene, or otherwise objectionable (including violent or hateful content).
  • Use Hylist to share or transmit content that infringes anyone's intellectual property or privacy rights.
  • Record or transcribe others' voices or video without proper consent, where required by law. You are responsible for complying with applicable recording consent laws when using Hylist's recording or transcription features.
  • Attempt to interfere with or disrupt the integrity or performance of Hylist or the data contained therein. This includes not sending viruses, overloading the service, or launching denial-of-service attacks.
  • Attempt to gain unauthorized access to any systems or accounts related to Hylist or its users (no hacking, password mining, or impersonation of others).
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of Hylist or any related systems, except to the extent expressly permitted by law.
  • Misrepresent your identity or affiliation, or use Hylist in a fraudulent or misleading manner.

We reserve the right to monitor usage and content on Hylist to enforce these Terms. Violation of the above rules may result in immediate termination or suspension of your account without notice, and may also subject you to legal consequences.

Integrations with Third-Party Services​

Hylist integrates with several third-party services to provide core functionality:

  • AuthZed – for authorization management (managing user permissions and access control).
  • LiveKit – for real-time audio and video streaming services.
  • Deepgram – for speech-to-text transcription of audio.
  • Firebase (Google) – for cloud services such as data storage, analytics, and possibly authentication or notifications.
  • Google Cloud Platform (GCP) – for hosting and infrastructure of the Hylist application and data.

Because these third-party services are involved, some of your data may be transmitted to or processed by them as needed to operate Hylist. For example, audio data is sent to Deepgram to generate transcriptions, and live video/audio is relayed through LiveKit servers. By using Hylist, you acknowledge and agree that these third-party providers will process your data under their own terms and privacy policies. We are not responsible for the services provided by third parties or for any acts or omissions of these third parties. However, we aim to use reputable providers and we will only share information with them to the extent necessary to provide Hylist's features. User Content and Recordings​

When you use Hylist, you and other users may share content in the form of live audio and video streams, and any recordings or text transcripts generated from those streams (“User Content”). We do not claim ownership of your User Content. You retain any rights that you have in the content you create or share through Hylist. However, by using Hylist, you grant us a license to use, process, and transmit your User Content as needed to operate the Service. This includes storing and processing audio/video for transmission to call participants, and sending audio to transcription services to generate transcripts when you enable that feature.

Recording and Transcription: Hylist provides optional features to record meetings and to transcribe speech to text. These features are for your convenience and are under your control (e.g., you choose when to record or transcribe). If you record a session, the audio/video content will be saved on our servers (and possibly on third-party infrastructure like GCP or Firebase) so that you can access it. If you transcribe a session, audio may be sent to Deepgram (a third-party) and a text transcript will be generated and stored. You are responsible for ensuring that all participants in a call are aware of and consent to any recording or transcription, as required by applicable law. We may provide an indicator in the app when recording is active, but you should still obtain consent if required.

We do not actively monitor or listen to your communications, but recorded content and transcripts are stored on our systems and may be accessible to you and those you share them with. We treat recorded content as confidential to you (subject to law enforcement requests, valid subpoenas, or if needed to investigate Terms violations). You are solely responsible for the content you share or record; ensure you do not violate any privacy or intellectual property rights of others.

Intellectual Property Rights​

All rights, title, and interest in and to the Hylist application, including the software, code, design, trademarks, logos, and branding (“Hylist IP”), are owned by Knoban LLC or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use Hylist solely for its intended purpose (video conferencing and related features) in accordance with these Terms. You may not use our name, logos, or trademarks without our prior written permission.

You agree not to copy, modify, distribute, sell, or lease any part of Hylist's software or included documentation. You also agree not to create any derivative works or competitive services based on Hylist. Any feedback or suggestions you provide to us regarding Hylist can be used by us freely and without restriction or compensation to you, and you irrevocably assign any rights in such feedback to us.

Privacy​

Your privacy is important to us. Our collection, use, and sharing of personal information in connection with Hylist is described in our Privacy Policy (see below). By using Hylist, you consent to the collection and use of information as described in the Privacy Policy. This includes the use of your email for account login, the handling of voice and video data for transmission, recording, and transcription, and the collection of anonymous analytics data. Please review the Privacy Policy carefully to understand how we manage your information.

Termination of Service​

We reserve the right to suspend or terminate your access to Hylist at any time, with or without cause, and with or without notice. Because Hylist is a demonstration service, we may also decide to discontinue the Service entirely. If we terminate your account due to a violation of these Terms or misuse of the Service, we may bar you from creating a new account.

You may stop using Hylist at any time. If you wish to delete your account, you may contact us at alden@knoban.com with your request. Upon termination of your account (by you or by us), your right to use Hylist will immediately cease. We may retain certain information as required by law or for legitimate business purposes (as outlined in our Privacy Policy), but otherwise we will handle your account data in accordance with the Privacy Policy (for example, deleting or anonymizing personal data).

Sections of these Terms that by their nature should survive termination (such as limitations of liability, disclaimers, and intellectual property provisions) will continue to apply even after your use of Hylist has ended.

Disclaimers of Warranty​

Hylist is provided “AS IS” and “AS AVAILABLE”. As a demo application, Hylist may have bugs, errors, or interruptions, and its features are subject to change. You use Hylist at your own risk. To the fullest extent permitted by law, Knoban LLC disclaims all warranties, express or implied, regarding Hylist and your use of it. This includes any warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, secure, or that any content (including transcripts or recordings) will be accurate or reliable.

We do not warrant that Hylist will meet your requirements or that it is suitable for any specific use-case beyond demonstration of functionality. Hylist is not intended to replace commercial video conferencing solutions or social communication tools, and you should not rely on it for critical communication needs or data storage.

Limitation of Liability​

To the maximum extent permitted by law, in no event will Knoban LLC or its directors, officers, employees, partners, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your access to, use of, or inability to use Hylist;
  • Any conduct or content of any other users or third parties on the Service;
  • Any content obtained from Hylist (including any transcription inaccuracies or recording issues);
  • Unauthorized access, use, or alteration of your transmissions or content.

In no case shall the total liability of Knoban LLC for all claims arising out of or relating to the use of Hylist exceed the amount of fifty U.S. dollars (USD $50) or the amount you paid us for the use of Hylist (if any), whichever is greater. Since Hylist is provided for free, you acknowledge that you assume all risks of use.

Liability Disclaimer: Knoban LLC is not responsible for how you use Hylist. You are solely responsible for your conduct and any data or content you transmit using the Service. We shall not be liable for any misuse of the app by you or others. This limitation of liability is a fundamental element of the basis of the bargain between you and us.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of liability for certain types of damages. In such jurisdictions, the above limitations may not fully apply to you; in that case, our liability and warranties will be limited to the minimum extent permitted by applicable law.

Governing Law and Disputes​

These Terms and any use of Hylist are governed by the laws of the State of Idaho, USA, without regard to its conflict of law principles. You agree that any dispute or claim arising out of or in connection with these Terms or your use of Hylist will be subject to the exclusive jurisdiction of the state and federal courts located in Idaho, and you consent to personal jurisdiction in such courts.

If you are using Hylist in a jurisdiction that does not allow for the waiver of certain rights or if you have rights under local law which cannot be limited by contract, these Terms shall be interpreted to respect those laws. However, in all other respects, these Terms will be enforced to the fullest extent permitted by applicable law.

Miscellaneous​

Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Knoban LLC.

Changes to these Terms​

We may modify or update these Terms of Service from time to time. If we make material changes, we will notify users by posting the updated Terms within the app or on our website, or by other appropriate means. The “Last Updated” date at the top will indicate when the latest changes were made. By continuing to use Hylist after any changes to the Terms, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you should stop using Hylist and, if desired, delete your account.
